Contract Agreement
This Agreement is entered into on [January 10, 2026] between [${client_name}] (hereinafter referred to as the "Client") and New Care Roots Ltd (hereinafter referred to as the "Supplier") for the supply of temporary Registered Nurses (RGN), Healthcare Assistants (HCA), Housekeeping Staff, Kitchen Assistants, and Locum HCAs.

 

Scheduled Services
New Care Roots Ltd, operating as a relief employment agency under the name "New Care Roots," specializes in providing healthcare staff. Our scheduled services include Registered Nurses, Care Coordinators, Senior Healthcare Assistants, Healthcare Assistants, Support Workers, Kitchen Assistants, Housekeeping Staff, and Locum HCAs. We offer temporary or temporary-to-permanent staffing solutions tailored to the Client’s needs.

General Terms and Conditions

New Care Roots Ltd provides a 24-hour on-call telephone service for booking staff outside office hours. Our branches are open from 9am to 5pm, Monday to Friday, as a minimum.

New Care Roots Ltd maintains the following policies and procedures:

Copies of these policies are available upon client request.

Client Policies and Procedures
Clients are required to have the following policies and procedures in place:

  • Recruitment and Selection

Clients must provide copies of these policies to suppliers upon request.

Insurance

  • Employers Liability Insurance: Minimum £10 million per claim
  • Public Liability Insurance: Minimum £5 million per claim, including malpractice cover for treatment risks, errors, and omissions

Mileage

  • Mileage is charged at £0.30 per mile, with the first 5 miles deducted and capped at £15. This may be waived if agreed with the client in advance.
  • No mileage is charged for staff traveling from within a 10-mile radius.

Time Definitions
Bank holiday rates apply from midnight to midnight and are charged at 1.9 times the weekday rate.

Rates

  • Rates include all taxes and Employer National Insurance contributions.
  • Clients shall pay undisputed invoices within 14 days from the invoice date.
  • Rates may change to comply with amendments to the National Minimum Hourly Wage or annually with 30 days’ written notice.

Locum HCA

  • Locum HCAs are supplied on a 3-month renewable contract at a discounted rate. At the end of the contract, the Locum may transfer to the client’s employment for a fee of £3,000 + VAT.
  • The client must honor the agreed supply hours for the contract duration as specified in the schedule.

Non-Solicitation
The client agrees not to solicit, entice, or attempt to entice any staff who worked under this agreement for six months post-termination. If the client engages a Temporary Worker within the Relevant Period, a Transfer Fee of £4,500 + VAT (for RGN or RMN) or £3,000 + VAT (for care worker or HCA) will apply.

Termination

  • Either party may terminate this agreement with 4 weeks’ written notice.
  • Termination does not affect accrued rights, remedies, obligations, or liabilities, including claims for damages arising before termination.

Cancellations

 

  • Cancellations made 12 hours or less before a shift’s start time will be billed in full.
  • New Care Roots Ltd is not liable for non-supply of staff, including cancellations of agreed bookings.
